General Corporate Tax Questions
1. What is UAE Corporate Tax?
Corporate Tax is a direct tax imposed on the taxable income of companies and certain other persons conducting a business or business activity. The calculation generally begins with accounting profit or loss and then applies the adjustments required by the Corporate Tax rules.
Read the UAE Corporate Tax Guide 2026 for an overview of the entire system.
2. When did UAE Corporate Tax begin?
Corporate Tax applies to Tax Periods beginning on or after 1 June 2023. It does not mean that every company began paying tax on 1 June 2023; the first applicable period depends on the start of the company's financial year.
3. What are the UAE Corporate Tax rates?
The standard rates are 0% on taxable income up to AED 375,000 and 9% on the portion of taxable income exceeding AED 375,000. Separate rules apply to Qualifying Free Zone Persons and in-scope large multinational groups.
See how UAE Corporate Tax is calculated for worked examples.
4. Is the AED 375,000 threshold based on revenue or sales?
No. The AED 375,000 threshold relates to taxable income, not gross revenue, turnover or sales. A company can have revenue exceeding AED 375,000 while its taxable income remains below that amount.
Read how UAE Corporate Tax is calculated to understand revenue, accounting profit and taxable income.
5. Is accounting profit the same as taxable income?
Not necessarily. Accounting profit is the starting point, but tax adjustments may be required for exempt income, non-deductible expenditure, Tax Losses, related-party transactions, interest restrictions and other items.
Our guide to how UAE Corporate Tax is calculated explains the accounting-to-tax bridge.
6. Is Corporate Tax the same as VAT?
No. Corporate Tax is generally imposed on taxable business income and is normally reported annually. VAT is a transaction-based tax charged on taxable supplies and is reported according to the VAT periods assigned by the FTA. Registration for one tax does not automatically register the business for the other.
7. Does a company have Corporate Tax obligations if it has no profit?
Yes. A Taxable Person must comply with the applicable registration, filing and record-keeping requirements even if it made a loss, had no taxable income or has no Corporate Tax payable.
Read our detailed guide to filing a UAE Corporate Tax Return.
Registration Questions
8. Does every UAE company need to register for Corporate Tax?
UAE juridical persons that are subject to Corporate Tax must register and obtain a Corporate Tax Registration Number. This generally includes mainland and Free Zone companies. A domestic branch of a UAE company does not register separately because it is treated as part of its head office. Certain Exempt Persons have separate rules.
See the UAE Corporate Tax registration guide for each category.
9. Must an inactive or pre-revenue company register?
Yes, where it is a juridical person subject to Corporate Tax. The obligation is not determined solely by revenue, profit or whether the company has started trading. Its incorporation date and legal status determine the registration timeline.
Check the applicable deadline in our UAE Corporate Tax registration guide.
10. Does a Free Zone company need to register?
Yes. A Free Zone company is generally within the Corporate Tax regime and must register and file. Eligibility for the 0% Free Zone rate does not remove these obligations.
Read Corporate Tax for Free Zone companies for the qualifying conditions.
11. I am registered for VAT. Am I automatically registered for Corporate Tax?
No. VAT and Corporate Tax require separate registrations. A business that is already registered for VAT must still complete Corporate Tax registration where required.
See the UAE Corporate Tax registration guide for the EmaraTax process.
12. When must a natural person register?
A resident natural person generally must register where total turnover from businesses or business activities conducted in the UAE exceeds AED 1 million during a Gregorian calendar year. Salary, personal investment income and qualifying real estate investment income are excluded from this test.
Read Corporate Tax for natural persons for examples and deadlines.
13. What should a company do if its registration deadline has passed?
It should register immediately, confirm whether the AED 10,000 late-registration penalty has been imposed, and assess whether it can satisfy the conditions of the FTA's late-registration penalty-waiver initiative. Delaying further does not improve the position.
Review the registration steps and waiver conditions in the UAE Corporate Tax registration guide.
Return Filing and Payment Questions
14. Must a loss-making company file a Corporate Tax Return?
Yes. A company that is a Taxable Person must file for every Tax Period even if it made an accounting loss or Tax Loss, had no taxable income or has no Corporate Tax payable. The loss may need to be reported and supported in the return.
Read our guide to filing a UAE Corporate Tax Return and our guide to UAE Corporate Tax Losses.
15. When is the Corporate Tax Return due?
The return is generally due within nine months from the end of the Tax Period. Corporate Tax payable is also generally due within the same nine-month period.
16. When is the return due for a company with a calendar financial year?
For a Tax Period running from 1 January to 31 December 2025, the ordinary filing and payment deadline is 30 September 2026. A different financial year produces a different deadline.
See the deadline examples in our guide to filing a UAE Corporate Tax Return.
17. Must a company file if its taxable income is below AED 375,000?
Yes. The 0% rate affects the amount of tax payable, not the filing obligation. A Taxable Person must still submit the return by the deadline.
18. Can a business file its own Corporate Tax Return?
Yes. A Taxable Person may file directly through EmaraTax or act through an authorised person, registered Tax Agent or Legal Representative, as applicable. Professional assistance may be appropriate where the tax calculation or classification is complex.
Review the preparation steps in our guide to filing a UAE Corporate Tax Return.
19. What records are needed before filing?
The business should have complete accounting records, financial statements, trial balances, ledgers, bank information, invoices, contracts, fixed-asset schedules and supporting documents for tax adjustments, reliefs, losses and related-party transactions.
Use our Corporate Tax records and audited financial statements as a document checklist.
20. Can a Corporate Tax Return be corrected after submission?
An error identified before the original filing deadline may be corrected before that deadline. After the deadline, the appropriate correction may involve a Voluntary Disclosure, depending on the nature and amount of the error. The business should not simply ignore a filed error.
See the correction and penalty discussion in UAE Corporate Tax penalties.
Tax Calculation, Relief and Loss Questions
21. How is Corporate Tax calculated?
The calculation generally begins with accounting profit or loss and then applies the Corporate Tax adjustments. The resulting taxable income is used to calculate the 0% and 9% amounts, after considering applicable reliefs, Tax Losses and credits.
See how UAE Corporate Tax is calculated for numerical examples.
22. Are all business expenses deductible?
No. An expense must meet the applicable deduction rules and be incurred wholly and exclusively for the business, subject to specific limitations and exclusions. Personal expenditure, certain fines and penalties, and other restricted amounts may not be deductible.
23. Can a Tax Loss be carried forward?
A qualifying Tax Loss may be carried forward to later Tax Periods, subject to the statutory conditions. Its use in a later period is generally limited to 75% of that period's taxable income.
Read the detailed UAE Corporate Tax Losses.
24. Does a Tax Loss expire after a fixed number of years?
The UAE Corporate Tax Law does not impose a general fixed expiry period for carrying forward a qualifying Tax Loss. However, the ownership, continuity and other statutory conditions must continue to be satisfied.
See UAE Corporate Tax Losses for the limitations.
25. What is Small Business Relief?
Small Business Relief is an election available to an eligible Resident Person that meets the revenue and other conditions. Where validly elected, the person is treated as having no taxable income for the relevant Tax Period. It is not an automatic exemption.
Read our guide to Small Business Relief.
26. Is the AED 3 million Small Business Relief threshold based on profit?
No. It is based on revenue. The eligible person's revenue must not exceed AED 3 million in the current relevant Tax Period or in any previous relevant Tax Period. Under the rules available at the date of this page, the relief applies to qualifying periods ending on or before 31 December 2026.
Review all conditions in the Small Business Relief.
27. Should every eligible small business elect for Small Business Relief?
Not automatically. Electing may simplify the tax position, but a Tax Loss arising during an elected period cannot be carried forward. A loss-making business should compare the relief with the future value of preserving its Tax Loss.
Compare the consequences in our guides to Small Business Relief and UAE Corporate Tax Losses.
Free Zone and Natural-Person Questions
28. Are all Free Zone companies taxed at 0%?
No. A Free Zone company must satisfy all the requirements to be a Qualifying Free Zone Person, and the 0% rate applies to Qualifying Income rather than automatically applying to all revenue or profit.
Read Corporate Tax for Free Zone companies before relying on the 0% rate.
29. Does having mainland customers automatically disqualify a Free Zone company?
No. The analysis is more detailed than whether the customer is located on the mainland. It considers the activity, customer type, source and classification of income, permanent establishments, excluded activities, de minimis requirements and other conditions.
See the scenarios in Corporate Tax for Free Zone companies.
30. Does a Qualifying Free Zone Person need audited financial statements?
Yes. Every Qualifying Free Zone Person must prepare and maintain audited financial statements for Tax Periods covered by the current decision, regardless of whether its revenue exceeds AED 50 million.
See Corporate Tax records and audited financial statements for the audit thresholds.
31. Is a freelancer or sole proprietor subject to Corporate Tax?
A natural person conducting a business or business activity in the UAE generally enters the Corporate Tax regime when total relevant turnover exceeds AED 1 million during a Gregorian calendar year. The legal and factual nature of the activity must be reviewed.
Read Corporate Tax for natural persons.
32. Are salary and personal investment income subject to Corporate Tax?
Salary, personal investment income and qualifying real estate investment income are not treated as Business or Business Activity income of a natural person for UAE Corporate Tax purposes, subject to the relevant definitions and facts. They are therefore excluded from the AED 1 million business-turnover test.
See Corporate Tax for natural persons for the distinctions.
33. Can a natural person use Small Business Relief?
Yes, where the individual is already a Taxable Person, is a Resident Person and satisfies all Small Business Relief conditions. The AED 1 million natural-person threshold determines whether the individual enters the regime; the AED 3 million threshold is then relevant to the relief election.
Read Corporate Tax for natural persons and Small Business Relief.
Records, Audits and Penalty Questions
34. How long must Corporate Tax records be retained?
Relevant records and supporting documents must generally be retained for seven years following the end of the Tax Period to which they relate. Filing the return does not end the retention obligation, and a longer period may apply in specific audit, refund, dispute or other legally required circumstances.
Use the checklist in Corporate Tax records and audited financial statements.
35. Which businesses require audited financial statements?
For Tax Periods beginning on or after 1 January 2025, audited financial statements are required for a Taxable Person that is not a Tax Group and has revenue exceeding AED 50 million, and for every Qualifying Free Zone Person. Tax Groups have separate audited special-purpose financial-statement requirements.
See Corporate Tax records and audited financial statements for the full rule.
36. What is the penalty for late Corporate Tax registration?
The administrative penalty is AED 10,000. An eligible person may obtain a waiver or credit under the FTA initiative by meeting the applicable seven-month filing condition and other requirements.
Read the full waiver explanation in UAE Corporate Tax penalties.
37. What is the penalty for filing a Corporate Tax Return late?
The penalty is AED 500 for each month or part of a month during the first 12 months of delay, increasing to AED 1,000 for each month or part of a month from the thirteenth month onward.
See worked examples in UAE Corporate Tax penalties.
38. What happens if Corporate Tax is paid late?
A separate monthly penalty is calculated at an annual rate of 14% on the unpaid Corporate Tax, beginning from the day after the payment deadline. This is separate from any late-return penalty.
Read UAE Corporate Tax penalties for the calculation.
39. Does paying the penalty remove the underlying obligation?
No. Paying a penalty does not replace the obligation to register, file, correct the return, pay the underlying Corporate Tax, update the tax record or provide the required documents.
40. Can an FTA Corporate Tax penalty be challenged?
An official FTA decision may be subject to a reconsideration request, generally within 40 business days from notification. Further tax-dispute procedures may be available after reconsideration, subject to the applicable conditions and deadlines.
See the high-level dispute process in UAE Corporate Tax penalties.
