Understand UAE Corporate Tax penalties for late registration, late returns, unpaid tax, incorrect returns, voluntary disclosures, records and FTA disputes.

Home › Corporate Tax Guide › UAE Corporate Tax Penalties 2026: Late Registration, Filing and Payment

UAE Corporate Tax penalties can arise even where a business has no tax to pay. A company may incur a fixed late-registration penalty, monthly return-filing penalties, a separate late-payment penalty, or penalties for inaccurate information, inadequate records or failure to cooperate with the Federal Tax Authority.

The most important practical point is that registration, filing and payment are separate obligations. Completing one obligation does not automatically correct the others.

For an overview of the wider tax system, start with the UAE Corporate Tax Guide 2026. For the underlying deadlines and filing steps, see our guides to Corporate Tax registration guide and filing a UAE Corporate Tax Return.

Which Rules Govern Corporate Tax Penalties?

The principal Corporate Tax-specific schedule is contained in Cabinet Decision No. 75 of 2023, as amended, concerning administrative penalties for violations related to the Corporate Tax Law. The AED 10,000 late-registration penalty was added through Cabinet Decision No. 10 of 2024.

The Tax Procedures Law and its implementing decisions also govern matters such as tax assessments, voluntary disclosures, reconsideration requests and enforcement. Penalty legislation may be amended, so the applicable decision and effective date should always be checked before advising on an actual case.

1. Late Corporate Tax Registration Penalty

A person that is required to register for Corporate Tax must submit its application within the deadline applicable to its category. Failure to do so results in an administrative penalty of AED 10,000.

The penalty is not based on the company's profit, revenue or tax payable. A dormant, pre-revenue or loss-making company can therefore receive the same AED 10,000 penalty if it misses its registration deadline.

If your registration deadline has passed, complete the registration immediately and review the FTA's late-registration waiver initiative. The detailed registration timelines are explained in our Corporate Tax registration guide.

Can the AED 10,000 Registration Penalty Be Waived?

Yes, where the conditions of the FTA initiative are satisfied. A Taxable Person must submit its first Corporate Tax Return within seven months from the end of its first Tax Period. An Exempt Person required to register must submit its first annual declaration within seven months from the end of its first financial year.

  • The initiative can apply where the person registered late.
  • It can also apply where the person has not yet submitted the registration application.
  • If the penalty was imposed but remains unpaid, it may be waived.
  • If it was already paid, the amount may be credited back to the tax account.

The initiative concerns the late-registration penalty only. It does not automatically remove late-return, late-payment or other administrative penalties.

2. Late Corporate Tax Return Penalty

A Taxable Person must file a Corporate Tax Return within nine months from the end of the relevant Tax Period, unless a specific decision provides a different deadline.

The late-return penalty is:

  • AED 500 for each month or part of a month during the first 12 months of delay.
  • AED 1,000 for each month or part of a month from the thirteenth month onward.

A part of a month counts as a month. The penalty applies even if the business made a loss, elected for Small Business Relief, or has no Corporate Tax payable.

For preparation steps and mandatory filing rules, read our detailed guide to filing a UAE Corporate Tax Return.

3. Late Payment Penalty

Corporate Tax payable is generally due within nine months from the end of the Tax Period. Filing the return without paying the amount due does not prevent a late-payment penalty.

The penalty is calculated monthly at an annual rate of 14% on the unpaid Corporate Tax, beginning from the day after the payment deadline. Each month or part of a month is counted for the calculation.

When a Voluntary Disclosure or Tax Assessment creates additional Corporate Tax payable, the decision also sets specific payment dates for calculating the late-payment penalty. The underlying notice and payment deadline should be reviewed carefully.

4. Incorrect Corporate Tax Return

Submitting an incorrect Corporate Tax Return can result in a fixed penalty of AED 500.

The fixed penalty does not apply where the person corrects the return before the original filing deadline. This makes an early review particularly valuable: a return submitted before the deadline can still be corrected before that deadline without triggering the fixed incorrect-return penalty.

Where the error creates a Tax Difference after the filing deadline, the Voluntary Disclosure rules may also apply. The business should not assume that paying AED 500 fully resolves an understated tax amount.

5. Voluntary Disclosures and Tax Differences

A Voluntary Disclosure is the formal process used to notify the FTA of an error or omission in a Tax Return, Tax Assessment or tax refund application where the applicable requirements are met.

Disclosure before an FTA Tax Audit notification

Under the Corporate Tax penalty schedule, a Voluntary Disclosure concerning a Tax Difference is subject to a monthly penalty of 1% of the Tax Difference for each month or part of a month, calculated from the day after the relevant due date until the Voluntary Disclosure is submitted.

Failure to disclose before an FTA Tax Audit notification

If the error is not disclosed before the person is notified of a Tax Audit, the potential penalty is materially higher:

  • A fixed penalty equal to 15% of the Tax Difference.
  • A monthly penalty equal to 1% of the Tax Difference for each month or part of a month, calculated under the applicable timing rules.

Not every accounting adjustment necessarily creates a Tax Difference. The correct correction mechanism depends on the nature of the error, whether the deadline has passed and whether the FTA has issued an audit notification. A case-specific review is important.

6. Record-Keeping Penalties

A person conducting a business or having a tax obligation must retain the records and information required under the Corporate Tax Law and Tax Procedures Law.

  • AED 10,000 for a record-keeping violation.
  • AED 20,000 where the same violation is repeated within 24 months from the previous violation.

Records may include financial statements, ledgers, invoices, contracts, bank records, supporting schedules, related-party documentation and evidence supporting exemptions, reliefs and Tax Losses.

For a complete document checklist and audit thresholds, see Corporate Tax records and audited financial statements.

7. Failure to Provide Arabic Records When Requested

The FTA may request tax-related data, records and documents in Arabic. Failure to provide them in Arabic when requested is subject to an AED 5,000 penalty.

This does not mean every company's accounting system must operate only in Arabic. It means the business must be able to comply when the FTA formally requests Arabic information or documents.

8. Failure to Update the Tax Record

A Registrant must notify the FTA of circumstances requiring amendment of the information held in its tax record.

  • AED 1,000 for each violation.
  • AED 5,000 where the same violation is repeated within 24 months.

Changes may include information relating to the legal name, licence, address, authorised signatory or other registered particulars, depending on the circumstances.

9. Late Corporate Tax Deregistration

Where a Registrant is required to apply for Corporate Tax deregistration, a late application is subject to AED 1,000 per month or part of a month, capped at AED 10,000.

Cancelling a trade licence does not necessarily complete the Corporate Tax deregistration process. The EmaraTax profile and final compliance obligations should be reviewed separately.

10. Failure to Facilitate an FTA Tax Audit

A person subject to a Tax Audit, its Tax Agent or Legal Representative must provide the required facilitation to the Tax Auditor.

Failure to do so is subject to an AED 20,000 penalty. Depending on who committed the violation, the penalty may be payable from that person's own funds.

Businesses should preserve audit notifications, appoint a responsible contact, provide complete information within the stated deadlines and document all submissions made to the FTA.

11. Late Annual Declarations

Certain persons submit a declaration under the Corporate Tax Law rather than an ordinary Corporate Tax Return. Failure to submit, or late submission of, a required declaration is subject to:

  • AED 500 per month or part of a month for the first 12 months.
  • AED 1,000 per month or part of a month from month 13.

The person's classification should be confirmed before assuming that no filing is required.

Can Administrative Penalties Exceed the Tax Due?

Yes. Fixed and monthly compliance penalties can arise even where the underlying Corporate Tax payable is nil or small. Imposing a penalty also does not remove the obligation to register, file, correct the return, provide records or pay the underlying tax.

This is why a business should address the underlying violation as well as the penalty displayed in EmaraTax.

What Should You Do After Receiving a Penalty?

  1. Identify the exact violation, Tax Period and date shown in EmaraTax.
  2. Confirm whether the penalty was calculated under the correct deadline and entity classification.
  3. Correct the underlying non-compliance immediately. For example, register, file the missing return, pay the outstanding tax or update the tax record.
  4. Preserve all supporting evidence, including submissions, acknowledgements, licences, financial records and correspondence.
  5. Check whether a specific waiver or credit initiative applies, particularly the late-registration initiative.
  6. Where the FTA decision appears incorrect, assess a formal reconsideration request without missing the statutory deadline.
  7. Obtain case-specific advice where the matter involves a Tax Difference, Voluntary Disclosure, audit notification or dispute.

Reconsideration and Objection

A person may request the FTA to reconsider an official decision issued concerning that person. The request must generally be submitted within 40 business days from notification of the decision and must explain the factual and legal grounds.

The FTA currently permits a request to extend the time for filing a reconsideration request in accordance with FTA Decision No. 1 of 2025, subject to its conditions.

If the person remains dissatisfied after reconsideration, an objection may be submitted to the Tax Disputes Resolution Committee, subject to the applicable admissibility, payment and procedural requirements. These procedures are formal and time-sensitive; they should not be treated as a general customer complaint.

Common Mistakes That Increase Penalty Exposure

  • Assuming no return is required because the company made a loss.
  • Believing VAT registration automatically completed Corporate Tax registration.
  • Filing the return but delaying payment.
  • Waiting for the FTA to identify an error instead of assessing a timely Voluntary Disclosure.
  • Treating the AED 500 incorrect-return penalty as the only consequence of understated Corporate Tax.
  • Failing to update licence or authorised-signatory details in EmaraTax.
  • Discarding accounting records after filing.
  • Assuming licence cancellation automatically deregisters the company from Corporate Tax.
  • Ignoring an FTA notice because the business believes the penalty is incorrect.

Frequently Asked Questions

What is the penalty for late Corporate Tax registration?

AED 10,000. It may be waived or credited under the FTA initiative where the seven-month filing condition and all other requirements are met.

Does a loss-making company receive a late-return penalty?

Yes. The return-filing obligation applies to a Taxable Person even where the company made a loss or has no tax payable.

Are the late-return and late-payment penalties the same?

No. They are separate. A company that both files and pays late may incur both penalties.

Can I correct a return before the deadline?

Yes. The AED 500 incorrect-return penalty does not apply where the return is corrected before the original filing deadline.

Does paying a penalty correct the violation?

No. The underlying registration, filing, payment, correction or record-keeping obligation remains.

Can I challenge an FTA penalty?

An official FTA decision may be subject to reconsideration, generally within 40 business days, followed by the tax-dispute process where applicable.
